Metareal Terms of Service

This Agreement ("Agreement") is a legal agreement between you ("you" or "User") and Metareal Inc. ("Metareal", "we", or "us") governing your access to and use of the Metareal services, including the metareal.com website, MetarealⓇ Stage™ SaaS Platform, and any related applications, software, tools, and services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not use the Service.

1. Access and Use of Service

Beginning on the date you first access the Service (the "Effective Date"), you may access and use the Service solely for your internal business operations, according to Metareal's terms and policies in this Agreement.

2. User Content

You retain all rights to any content you submit, upload, post, or otherwise make available via the Service ("User Content"). By submitting User Content, you grant Metareal a perpetual, irrevocable, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display your User Content:

(a) as necessary to operate and provide the Service;
(b) to improve and develop Metareal products and services;
(c) for research and development purposes, including the creation of derived tools and algorithms.

You represent and warrant that you own or have the necessary rights to grant this license for all User Content you provide.

3. Account Responsibilities

You must provide accurate and complete information when creating your account and maintain the security of your password. You are responsible for all activity that occurs under your account. You agree to notify Metareal immediately of any unauthorized use.

4. Subscription and Billing

Some features of the Service may require a paid subscription. Subscription terms, billing cycles, and fees are disclosed at the time of purchase. Unless cancelled, subscriptions renew automatically at the end of each billing period. Fees are non-refundable except as required by law.

Metareal may change subscription fees without prior notice. Continued use after fee changes take effect constitutes agreement to the new fees.

5. Fair Use Policy

Use of the Service is subject to reasonable and fair use. Excessive usage that degrades performance, security, or reliability may result in throttling, suspension, or termination. Metareal reserves the right to monitor usage and take corrective action as needed.

6. Intellectual Property

All rights, title, and interest in and to the Service (excluding User Content) are owned by Metareal or its licensors, and are protected by patents, trademarks or copyright. You may not use, copy, modify, distribute, or create derivative works from any portion of the Service except as permitted by this Agreement.

7. Restrictions

You may not:

Reverse engineer, decompile, or disassemble the Service;

Circumvent any security or usage restrictions;

Use the Service to infringe on third-party rights;

Use the Service for any unlawful or abusive purpose;

Impersonate any person or entity or misrepresent your affiliation.

8. Termination

Metareal may terminate or suspend your access at any time, with or without cause or notice. Upon termination, your license to use the Service ends immediately.

Sections concerning User Content rights, intellectual property, disclaimers, limitations of liability, and indemnification shall survive termination.

9. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available" without warranty of any kind. Metareal disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, fitness for any specific business use, and non-infringement.

Metareal Inc. its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

To the maximum extent permitted by law, Metareal Inc., its directors, employees, partners, agents, suppliers, or affiliates, shall not be liable for any indirect, incidental, special, or consequential damages arising from or related to your use of the Service.

You may not assign, sub-license or otherwise transfer any of your rights under these Terms.

10. Indemnification

You agree to indemnify and hold harmless Metareal and its affiliates from any claims, damages, losses, or expenses arising from:

Your use of the Service;

Your User Content;

Your violation of this Agreement or applicable law.

11. Governing Law

This Agreement is governed by the laws of the Province of Quebec and the laws of Canada as applicable, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, then any remaining provisions of these Terms will remain in effect.

If you are located in Quebec, Canada, the following applies: Les parties aux présentes confirment que chacune d'elles a exigé que cette convention et tous les documents s'y rattachant soient rédigés en anglais.

12. Changes to This Agreement

We may update this Agreement from time to time. It is your responsibility to review the current version of this Agreement regularly. Continued use of the Service after any update becomes effective constitutes your acceptance of the revised Agreement.
